Scope of Services

What Basis is
Basis is a technology and administrative platform operated by Basis Wellness Developments LLC, a Wyoming limited liability company.
We provide the website, the medical intake technology, customer support, billing administration and logistics coordination that make it straightforward to access care.
What Basis is not
Basis is not a medical practice, a pharmacy, or an insurer.
- We do not employ physicians, nurse practitioners or other clinicians
- We do not practise medicine
- We do not make clinical decisions
- We do not determine whether you receive a prescription
- We do not dispense, compound or ship medication
- We do not provide medical advice
Who does what
Medical evaluation and prescribing is performed by independent, licensed healthcare providers contracted through Locumtele. These providers are licensed in the state in which you are located. They exercise independent clinical judgement and may decline to prescribe. Their clinical decisions are their own and are not directed, reviewed or influenced by Basis.
Dispensing is performed by Rush Pharmacy, a licensed compounding pharmacy. Medication is compounded, labelled, packaged and shipped by the pharmacy in accordance with applicable state and federal law.
Compounded medications are not reviewed or approved by the FDA for safety or effectiveness.
Platform, billing and support is provided by Basis Wellness Developments LLC.
How providers are compensated
Amounts you pay to Basis cover platform access, provider consultation, medication and fulfilment.
Basis does not pay providers for issuing prescriptions. Provider compensation is not tied to whether a prescription is issued, to the medication prescribed, or to the dose prescribed.
Availability
Services are available only in US states where our provider network is licensed and where applicable law permits. Availability may change without notice. If we cannot serve your state, you will not be charged.
Your relationship with your provider
Your relationship for clinical care is with your treating provider, not with Basis. You have the right to request your medical records from your provider, to seek a second opinion, and to discontinue treatment at any time.
We encourage every patient to maintain a relationship with a primary care provider and to inform them of any treatment received through Basis.
Emergencies
Basis does not provide emergency medical care. If you are experiencing a medical emergency, call 911 or go to your nearest emergency department.

Telehealth Consent

By proceeding with a medical intake on Basis, you consent to receive health care services via telehealth. Please read this consent carefully before you continue.
What telehealth means here
Telehealth is the delivery of health care services using electronic communications rather than an in-person visit.
Your consultation will normally be conducted asynchronously. You complete a detailed medical intake, and a licensed provider reviews your information and communicates with you electronically. Depending on your state and your clinical circumstances, a live video or telephone consultation may be required before treatment can be prescribed.
Who provides your care
Your care is provided by an independent, licensed healthcare provider contracted through Locumtele, who is licensed in the state in which you are physically located at the time of your consultation.
Basis Wellness Developments LLC does not employ these providers, does not direct or influence their clinical judgement, and does not practise medicine.
Benefits of telehealth
- access to care without travelling to a clinic
- convenience, flexibility and privacy
- access to providers who may not be available locally
- ongoing communication with your provider through a secure platform
Risks and limitations of telehealth
You should understand that:
- Your provider will not physically examine you. Diagnosis and treatment recommendations are based entirely on the information you provide. Incomplete or inaccurate information may result in inappropriate treatment, delayed treatment, or harm to your health.
- Telehealth is not appropriate for every condition or every patient. Your provider may determine that in-person care is required and may decline to treat you.
- Technology failures, delays or outages may interrupt or delay your care.
- Electronic communication carries a risk of interception or unauthorised access despite the security measures we and our partners use.
- Telehealth is not a substitute for a relationship with a primary care provider. We strongly encourage you to maintain one and to inform them of any treatment you receive through Basis.
- In rare cases, information transmitted may be insufficient or of poor quality, requiring rescheduling or an in-person visit.
Medications
Medication prescribed to you may be FDA-approved or compounded.
Compounded medications are not reviewed or approved by the FDA for safety or effectiveness. They are prepared by Rush Pharmacy, a licensed compounding pharmacy, in accordance with applicable state and federal law.
GLP-1 medications commonly cause side effects, most often gastrointestinal, particularly during the period when your dose is being increased. Your provider will discuss the risks, benefits, alternatives and expected side effects of any treatment. You should raise any concerns with your provider before beginning treatment and at any point during it.
You should contact your provider promptly if you experience side effects that concern you, and seek emergency care immediately if you experience severe symptoms.
Emergencies
Telehealth is not for emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency department. Do not wait for a response through this platform.
Records and privacy
A record of your telehealth consultation will be kept by your treating provider. Your information is protected under applicable federal and state privacy law. You have the right to request access to the medical records held by your provider.

Your rights
- You may withhold or withdraw this consent at any time, without affecting your right to future care or treatment.
- You may request a referral for in-person care at any time.
- You may request that a specific person is not present during a consultation.
- You have the right to ask questions about your treatment at any time.

- you have read and understood this consent
- you have had the opportunity to ask questions and have those questions answered

- the medical and personal information you have provided is accurate and complete to the best of your knowledge

Payment & Billing Consent

How payment works
When you submit your order, your payment method is authorised, not charged.
You are charged only if a licensed provider reviews your medical information, determines that treatment is clinically appropriate, and issues a prescription.
If a provider declines to prescribe, the authorisation is released and you are not charged. There is no separate consultation fee.
What your subscription includes
Your subscription price covers platform access, provider consultation and ongoing clinical oversight, medication, and delivery.
Subscription terms and automatic renewal
Basis is a subscription service. Your plan renews automatically at the end of each term until you cancel.
Available terms are shown at checkout and may include monthly and multi-month plans. Multi-month plans are charged in full at the beginning of each term, and renew automatically for a further term of the same length unless you cancel.
The price, term length and renewal date applicable to your plan are shown to you before you complete checkout, confirmed in your order confirmation email, and available at any time in your patient portal.
Your price does not change with your dose
GLP-1 treatment normally begins at a lower dose which is increased over time under the supervision of your provider.
Your subscription price does not change when your dose changes. The price you agree at checkout is the price you pay for the term you have chosen, whatever dose your provider prescribes.
We will give you at least 30 days notice of any general change to our pricing, and you may cancel at any time before it takes effect.
Cancellation
You may cancel at any time:
- through your patient portal at https://join.basiswellness.com/login
- by emailing support@basiswellness.com
- by calling +1 (877) 239-5077
To avoid being charged for your next term, you must cancel at least 48 hours before your renewal date.
Cancellation takes effect at the end of your current paid term. Medication already dispensed will still be shipped to you.
We will confirm your cancellation by email. If you do not receive confirmation within one business day, please contact us.
Refunds
- Medication that has already been dispensed cannot be returned or refunded. This is required by pharmacy law and applies to all compounded medication.
- If you cancel a prepaid multi-month plan, we will refund on a pro rata basis for whole months of medication that have not yet been dispensed.
- If a provider declines to prescribe, the authorisation on your payment method is released and you are not charged.
- If your order is not dispensed for any other reason, you will receive a full refund.
To request a refund, email support@basiswellness.com. We aim to process approved refunds within five business days. Refunds are returned to the original payment method.
Billing descriptor
Charges will appear on your statement as BASIS WELLNESS.
If you do not recognise a charge, please contact us at support@basiswellness.com or +1 (877) 239-5077 before disputing it with your bank. We resolve almost all billing questions within one business day.
Failed payments
If a payment fails, we will attempt to charge your payment method again and will email you. If payment cannot be collected, your subscription may be paused or cancelled and your next shipment will not be dispensed.
Your consent
By completing checkout you consent to:
- the authorisation and subsequent charge of your payment method as described above
- automatic renewal of your chosen subscription term until you cancel

Terms of Service

1. Who we are
Basis ("Basis," "we," "us," "our") is operated by Basis Wellness Developments LLC, a Wyoming limited liability company with its registered office at 30 North Gould Street, Suite N, Sheridan, Wyoming 82801, United States.
Basis is a technology and administrative platform. Basis is not a medical practice, does not employ physicians or other clinicians, and does not practise medicine or pharmacy. Medical services are provided by independent, licensed healthcare providers. Medications are dispensed by independent, licensed pharmacies. See our Scope of Services page for detail.
These Terms of Service govern your use of basiswellness.com, join.basiswellness.com, and any related services (together, the "Platform"). By using the Platform you agree to these terms.
2. Eligibility
You must be at least 18 years old and physically located in a US state where our provider network is licensed. We do not serve patients outside the United States. Availability by state may change without notice.
3. What you agree to
By using Basis you agree to:
- provide accurate, complete and current medical and personal information
- not misrepresent your identity, age, location or medical history
- use any medication prescribed to you only as directed by your prescribing provider
- never share, resell, or transfer prescribed medication to another person
- notify your provider promptly of any change in your health or medications
Providing false or incomplete information may result in a provider declining treatment, and may put your health at serious risk.
4. No guarantee of treatment
Completing a medical intake does not guarantee that a provider will prescribe treatment. A licensed provider reviews your information and exercises independent clinical judgement. Providers decline treatment where it is not clinically appropriate.
You are not charged for medication if treatment is not prescribed. See our Payment & Billing Consent page.
5. Medications
Medications prescribed through the Platform may be FDA-approved or compounded.
Compounded medications are not reviewed or approved by the FDA for safety or effectiveness. Compounded medications are prepared by licensed compounding pharmacies in accordance with applicable state and federal law.
Medication is dispensed by Rush Pharmacy, a licensed compounding pharmacy. Product packaging and appearance may vary.
6. Not for emergencies
Basis is not for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency department immediately. Do not use this Platform to seek emergency care and do not wait for a response from us.
7. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@basiswellness.com if you believe your account has been compromised.
8. Acceptable use
You may not use the Platform to violate any law, infringe any right, transmit malicious code, attempt to gain unauthorised access to our systems, or scrape, copy or resell any part of the Platform.
9. Intellectual property
All content on the Platform, including text, design, graphics, logos and the Basis name, is owned by Basis Wellness Developments LLC or its licensors and may not be reproduced, distributed or used without our written permission.
10. Third party services
The Platform integrates services provided by third parties, including our telehealth platform provider, provider network, pharmacy partners and payment processor. Your use of those services may be subject to their own terms.
11. Disclaimer of warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, timely, secure or error-free.
Nothing in this section limits the professional obligations of the licensed providers or pharmacies in our network.
12. Limitation of liability
To the fullest extent permitted by law, Basis Wellness Developments LLC and its officers, members, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, data or goodwill, arising from or relating to your use of the Platform.
Our total aggregate liability to you for any claim arising out of or relating to these terms or the Platform shall not exceed the total amount you paid to Basis in the twelve months preceding the event giving rise to the claim.
Clinical decisions are made by independent licensed providers and dispensing is performed by independent licensed pharmacies. Those parties are responsible for their own professional conduct.
Some states do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Basis Wellness Developments LLC from any claim, demand, loss or expense, including reasonable legal fees, arising out of your breach of these terms, your misuse of the Platform, or your misuse of any medication.
14. Dispute resolution and arbitration
Please read this section carefully. It affects your legal rights.
Most concerns can be resolved quickly by contacting us at support@basiswellness.com. We ask that you contact us first and allow us thirty days to resolve any dispute informally.
If we cannot resolve a dispute informally, you and Basis agree that any dispute arising out of or relating to these terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Sheridan, Wyoming, or by videoconference or telephone at your election, and shall be conducted in English.
You and Basis each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or representative proceeding. The arbitrator may not consolidate claims of more than one person.
This arbitration agreement does not apply to claims that may be brought in small claims court, or to claims for injunctive relief relating to intellectual property.
You may opt out of this arbitration agreement by emailing support@basiswellness.com with the subject line "Arbitration Opt-Out" within thirty days of first accepting these terms. Opting out will not affect any other part of these terms or your use of the Platform.
If any part of this section is found unenforceable, the remainder shall continue to apply, except that if the class action waiver is found unenforceable, this entire arbitration section shall not apply.
15. Governing law
These terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles, except that the Federal Arbitration Act governs the arbitration section above.
16. Termination
We may suspend or terminate your access to the Platform at any time if you breach these terms or if we are required to do so by law. You may stop using the Platform at any time. See our Payment & Billing Consent page for how to cancel a subscription.
17. Changes to these terms
We may update these terms. Material changes will be notified by email to the address on your account, or by prominent notice on this page, at least fourteen days before they take effect. Continued use after that period constitutes acceptance.

Privacy Policy

1. Scope of this policy
This policy describes how Basis Wellness Developments LLC ("Basis," "we," "us") collects, uses and shares personal information through basiswellness.com and join.basiswellness.com.
Consumer health data is additionally covered by our Consumer Health Data Privacy Policy, which applies to residents of Washington, Nevada and Connecticut.
Protected health information held by your treating provider or dispensing pharmacy is governed by their own notices of privacy practices, which they provide to you directly.
2. Information we collect
Information you provide to us: name, email address, telephone number, shipping and billing address, date of birth, and information you submit in your medical intake, including height, weight, body mass index, medical history, current medications and allergies.
Information collected automatically: IP address, device type, browser type, operating system, pages visited, time spent on pages, referring URL, and advertising identifiers including click identifiers such as gclid and fbclid.
Information from third parties: treatment status and order status from our provider network and pharmacy partners; payment confirmation and card details in tokenised form from our payment processor; delivery status from shipping carriers.
3. How we use your information
- to route your medical intake to a licensed provider in your state
- to facilitate the prescribing, dispensing and delivery of medication
- to process payments and manage your subscription
- to provide customer support
- to send transactional communications about your order, treatment and account
- to send marketing communications where you have opted in
- to measure the effectiveness of our advertising
- to detect and prevent fraud
- to comply with legal, tax and regulatory obligations
4. Advertising and analytics
We use advertising and analytics technologies including Google Ads and Meta on our marketing website and checkout funnel.
We do not send your medical intake responses, diagnoses, medical conditions, body mass index, or the name or dosage of any medication prescribed to you to any advertising platform.
Where a purchase or conversion event is shared with an advertising platform for measurement purposes, it does not include clinical detail. Sensitive health information is not used for advertising targeting.
We have disabled features that would automatically transmit identifiable form data to advertising platforms, including Google Enhanced Conversions and Meta Automatic Advanced Matching.
You may opt out of marketing communications at any time using the unsubscribe link in any marketing email, or by emailing support@basiswellness.com.
5. How we share your information
We share personal information with:
- Independent licensed healthcare providers contracted through Locumtele, for clinical evaluation and treatment
- Rush Pharmacy, a licensed compounding pharmacy, for dispensing and shipping
- Remedora, our telehealth platform provider, for order management and record keeping
- Stripe, our payment processor, for payment handling
- Service providers including hosting, email delivery and customer support tools, under written contract and only as needed to perform services for us
- Legal and regulatory authorities, where required by law or to protect rights and safety
- A successor entity, in the event of a merger, acquisition or sale of assets, subject to this policy
We do not sell your personal information.
6. Data security
We use administrative, technical and physical safeguards designed to protect your information, including encryption in transit, access controls and contractual requirements on our service providers.
No system is perfectly secure and we cannot guarantee absolute security.
7. Data retention
We retain personal information for as long as necessary to provide services to you and to comply with legal, tax and medical record retention obligations. Medical records held by your treating provider are retained in accordance with applicable state requirements, which are typically between six and ten years.
8. Your privacy rights
Depending on the state in which you reside, you may have the right to:
- know what personal information we have collected about you
- access a copy of that information
- correct inaccurate information
- delete your information, subject to legal retention requirements
- opt out of the sale or sharing of personal information, or of targeted advertising
- limit the use of sensitive personal information
- appeal a decision we make about your request
We will not discriminate against you for exercising any of these rights.

If we decline your request you may appeal by replying to our response. If your appeal is denied you may contact the Attorney General in your state.
9. Children
The Platform is not intended for anyone under 18 and we do not knowingly collect personal information from children. If you believe a child has provided us with information, contact support@basiswellness.com.
10. Changes to this policy
We will post any changes on this page with an updated date. Material changes will be notified by email.

Consumer Health Data

This policy applies to Consumer Health Data as defined by the Washington My Health My Data Act, the Nevada Consumer Health Data Privacy Law (SB 370), and the Connecticut Data Privacy Act. It applies to residents of those states and is offered to all users.

- directly from you, through our medical intake form and your communications with us

- to arrange a consultation with a licensed provider in your state
- to enable a provider to evaluate whether treatment is clinically appropriate
- to facilitate the prescribing and dispensing of medication
- to provide customer support relating to your treatment and orders
- to comply with legal, regulatory and medical record retention obligations
We do not use consumer health data for advertising or marketing targeting.

Your rights
You have the right to:
- confirm whether we are collecting, sharing or selling your consumer health data
- access your consumer health data, including a list of all third parties with whom we have shared or sold it, and contact information for each
- withdraw consent to the collection and sharing of your consumer health data
- delete your consumer health data
Where data must be retained to comply with medical records law or other legal obligations, we will tell you and explain why.

We will verify your identity before acting on your request and will respond within 45 days, which may be extended once by a further 45 days where reasonably necessary. We will tell you if we need more time.
Appeals
If we decline your request you may appeal by replying to our response with the subject line "Consumer Health Data Appeal." We will respond to an appeal within 45 days.
